PX as a Product Service Agreement

1. Introduction

This Service Agreement (the “Agreement”) is entered into between Red Oak Agency Limited, a company incorporated under the laws of Ireland (Company Registration No. 774600, VAT No. IE4371480EH), with its registered office in Ireland (“Company,” “we,” “us,” or “our”), and the individual or entity (“you,” “your,” or “Participant”) purchasing access to one or more products or services available via pxasaproduct.com.

By accessing, purchasing, or participating in any product, cohort, or on-demand course made available by Red Oak Agency Limited under the “PX as a Product” brand (collectively referred to as the “Course” or “Services”), you agree to be bound by the terms and conditions of this Agreement.

2. Scope of Services

Red Oak Agency Limited offers both cohort-based and on-demand educational services under the brand “PX as a Product.” These services may include, but are not limited to:

  • Structured, time-bound cohort-based courses (typically four weeks in duration);

  • Live instructional sessions offered in multiple time zones;

  • On-demand instructional content (e.g., videos, downloadable PDFs);

  • Access to online community spaces for discussion and collaboration;

  • Downloadable tools and resources (e.g., the PX Product Canvas);

  • Other educational or support materials delivered digitally.

Red Oak Agency Limited reserves the right to update, modify, or change the Services, delivery platforms, schedule, or features at any time, provided that Participants receive access to the purchased offering as materially described at the time of purchase.

3. Applicability

This Agreement applies to all purchases made via pxasaproduct.com, including but not limited to:

  • Cohort-based course access;

  • On-demand learning modules;

  • Community participation;

  • Any other digital services or products offered under the PX as a Product brand.

This Agreement also applies to future cohorts or iterations of the Course unless a superseding agreement is provided.

4. Eligibility and Access

4.1 Eligibility 

The Services are available to individuals aged 18 and over from any country, except where local laws or sanctions prohibit commerce with Ireland or the European Union. Participants must register using accurate and complete personal information. Red Oak Agency Limited reserves the right to reject or revoke access at any time, without refund, if false information is provided.

4.2 Account Creation and Access 

Participants will receive instructions to create an account on our learning platform (currently Kajabi) prior to the start of a cohort or upon on-demand purchase. Access to Course Materials may be granted a few days prior to the scheduled course start date. Red Oak Agency Limited reserves the right to change its learning or community platform without notice.

4.3 Duration of Access 

Access to course materials and the community is not currently time-limited, but we reserve the right to limit or revoke access in the future, with reasonable notice, to maintain system security or course integrity.

5. Pricing, Payment, and Taxes

5.1 Payment Terms 

Payment is due in full at the time of purchase. Transactions are processed in USD via Stripe. Red Oak Agency Limited may offer discretionary discounts or coupon codes, which must be applied at the time of purchase and cannot be retroactively applied.

5.2 Taxes 

For purchases within the EU, no VAT is charged as the course is VAT-exempt under Irish law for educational services. For purchases outside the EU, the course is treated as a zero-rated export. Participants are responsible for any additional local taxes or fees in their jurisdiction.

6. Refunds and Cancellations

6.1 Refund Policy 

We offer full refunds up to 7 calendar days before the cohort start date (or before access to on-demand materials is granted, whichever is earlier). After this point, no refunds will be provided.

6.2 No Shows and Dropouts 

Participants who fail to attend live sessions or complete course activities are not eligible for a refund. Accessing or downloading course materials constitutes use of the product.

6.3 Cohort Deferrals 

At our sole discretion, we may offer you the option to defer your participation to a future cohort, subject to availability.

7. Intellectual Property & Use of Materials

7.1 Ownership 

All materials provided including but not limited to videos, PDFs, the PX Product Canvas (Miro board), worksheets, and slide decks remain the sole intellectual property of Red Oak Agency Limited. By purchasing the course, you are granted a non-exclusive, non-transferable license to access and use the materials for personal and internal business purposes only.

7.2 Restrictions 

You may not reproduce, redistribute, resell, or publicly share any course materials without prior written permission. Misuse of materials may result in removal from the course and legal action.

7.3 Testimonials and Participant Submissions 

By submitting testimonials or participating in group sessions (live or written), you grant Red Oak Agency Limited the right to use your feedback or content for promotional or educational purposes, unless you explicitly request otherwise in writing.

8. Code of Conduct

8.1 Community Standards

All participants are expected to behave respectfully toward instructors and fellow participants in live sessions and community platforms. Harassment, abuse, or disruptive behaviour may result in immediate removal without refund.

8.2 Platform Rules 

Access to discussion spaces and community forums (currently hosted via Kajabi) is conditional on adherence to community guidelines. We reserve the right to moderate or remove posts and participants who violate these guidelines.

9. Service Availability & Disclaimers

9.1 Platform Dependence

Our Services rely on third-party platforms (e.g. Kajabi, Zoom, Miro). While we strive to ensure high availability, we are not responsible for outages, downtimes, or platform-specific issues beyond our control.

9.2 No Guarantees 

We do not guarantee specific results or outcomes (e.g., job placements, promotions) as a result of participating in the course.

10. Limitation of Liability

To the fullest extent permitted by law, Red Oak Agency Limited shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of income or business opportunity. Our total liability for any claim arising out of or relating to this Agreement or the Services shall not exceed the total amount paid by the Participant for the Services.

11. Privacy and Data Handling

We collect limited personal data (e.g., name and email) necessary for enrollment, communications, and delivery of course materials (including sharing your email with Miro to assign a PX Product Canvas copy). We store this data securely within trusted third-party platforms (e.g., Kajabi, HubSpot, Miro) and do not sell or share data with unaffiliated third parties. Our practices comply with GDPR and relevant data protection laws.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Ireland.
